Introduction and Acceptance

Welcome to our 360° Feedback platform! These Terms of Use (“Terms”) govern your access to and use of our web platform and services (“Service”). By using our Service, you agree to these Terms. We’ve written them in plain language to be clear and understandable (no unnecessary legal jargon). If you do not agree with these Terms, please do not use the platform. Continuing to use the Service means you’re agreeing to follow these rules.

These Terms apply to all users of the platform, whether you’re an administrator, a manager, a feedback giver (rater), or a feedback recipient. Additional guidelines or instructions within the platform (like prompts during a survey) are also considered part of these Terms. We encourage you to read this document carefully. Summary: Use the platform responsibly and in accordance with these terms. We promise to provide you with a useful service, and in return, we ask that you use it as intended and respect the rules.

User Responsibilities

When you use our platform, we trust you to behave responsibly. Here’s what that means for all users:

  • Provide Accurate Information: You agree to provide true and correct information when creating an account or completing a feedback survey. For example, use your real name and email, and be honest in your feedback responses. This ensures the feedback process is fair and useful.

  • Use the Platform for its Intended Purpose: Our Service is designed for professional 360° feedback. You agree not to misuse it. This means you should not attempt to use the platform for anything illegal, harmful, or disruptive. Examples of misuse include attempting to hack the site, sending spam or unauthorized invitations, or using the feedback tool to harass or discriminate against someone. Keep your feedback constructive and respectful; the platform is not a venue for personal attacks or offensive content.

  • Respect Anonymity and Confidentiality: If you are a feedback recipient, you agree to respect the anonymity of your raters (except your manager, who is identifiable). Do not attempt to uncover or guess the identities of anonymous respondents through any means. If you are a manager or admin with access to identifiable feedback, you should treat that information confidentially and not disclose it inappropriately. Basically, everyone should honor the privacy design of the system.

  • No Sharing of Sensitive Data Unnecessarily: You should not post or upload any personal data that isn’t needed for the feedback process. For example, don’t use the comments box to share someone’s personal contact details or confidential business secrets. Stick to relevant professional feedback.

  • Obey the Law and Company Policies: You agree to follow all applicable laws while using our Service. If your organization has policies related to data use or conduct (e.g., a code of conduct or IT policy), using our platform as part of your job means those rules apply too. You should not use the Service to do anything that violates any law or anyone’s rights (including intellectual property rights).

  • Feedback Content Responsibility: If you write comments in a feedback survey, you are responsible for what you write. Avoid offensive, defamatory, or discriminatory language. Provide feedback you would be comfortable giving in a professional setting. We do not routinely review feedback comments (since they are usually private to the feedback recipient and their organization), but if it’s brought to our attention that content you provided violates these Terms or someone’s rights, we may remove it and take appropriate action (including warning or suspending your access).

In short, be honest, respectful, and lawful in your use of our platform. By doing so, you help maintain a positive and effective environment for everyone.

Account Security

When you create an account on our platform (or are provided one by your organization), you’re responsible for maintaining the security of that account. Here are important points about account security:

  • Choose a Strong Password: If the platform requires a password, choose one that is unique and hard to guess. We recommend using a mix of letters, numbers, and symbols. Don’t reuse a password that you use on other sites, to reduce risk.

  • Keep Your Login Credentials Confidential: Do not share your username or password with anyone. You are responsible for all activities that occur under your account. If someone else has your login info and does something on the platform, it will be treated as your actions (so please safeguard your credentials).

  • Notify Us of Any Breach: If you suspect that your account has been compromised – for example, if you notice unrecognized activity or if your password is stolen – please contact us immediately at [[email protected]]. We will help you secure your account. Similarly, if you discover a security vulnerability or bug in the platform, we encourage you to let us know so we can fix it (we won’t take action against you for reporting a vulnerability in good faith).

  • Use Only Your Own Account: Do not use someone else’s account, even if you know their credentials, without explicit permission. Likewise, do not falsely represent yourself as another person or user. Impersonation and unauthorized access are strictly prohibited.

  • Logging Out: Especially if you’re on a shared or public computer, log out after finishing your session to ensure no one else can access your account.

We take security seriously on our end, but account security is a partnership – we do our part (secure systems, encryption, etc.) and you must do yours (good password hygiene, reporting issues). By following these guidelines, you help protect both yourself and the entire community of users.

Your Content and Data in the Service

Our platform involves content provided by users (for example, the feedback answers and comments you write). We want to clarify how ownership and rights work for that content and data:

  • You Own Your Content: Any responses, comments, or other content that you submit as feedback are owned by you (and/or by the organization that’s running the feedback process, depending on your internal agreements). We do not claim ownership over the feedback you provide about someone, or any other original content you contribute. It’s your input.

  • License to Use Your Content: In order for us to operate the Service, we need your permission to handle your content. When you submit feedback or other content, you give us (and our service providers, as necessary) a license to use, store, and process that content solely for the purpose of providing the feedback service. This means, for example, we have the right to compile your ratings with others’, generate the report, show it to the intended recipient, and back it up on our servers. We will not use your content for any other purpose without your consent. This license is worldwide, royalty-free, and sublicensable only to the limited extent needed to run the service (for instance, allowing our cloud database provider to store it). Importantly, this license ends when we delete your content from our systems.

  • Respecting Others’ Rights: Only submit content that you have the right to share. Do not include information or material that violates someone else’s intellectual property or privacy. For example, don’t copy-paste text from a copyrighted source into a feedback comment, and don’t disclose personal details about someone that are not relevant or that you don’t have permission to share. You are responsible if you upload something that you shouldn’t.

  • Our Access to Your Content: We design the system to keep feedback private between you, the recipient, and authorized viewers (like certain admins). Our team generally does not access individual feedback content except in specific circumstances: e.g., if necessary for support (with permission), or if required by law. All handling of user content is done according to our Privacy Policy and with great care for confidentiality.

  • Removal of Content: If you want to remove content you submitted (like a comment you wrote), you can contact us. In some cases, you might also be able to do it yourself through the interface (depending on the platform’s features and your role). We’ll assist in removing or anonymizing content wherever feasible, though if a feedback cycle is completed, that content might already be integrated into a report. If we find content that violates these Terms (for example, hate speech or malware links in a comment), we reserve the right to remove or edit it to protect our users and service.

  • Data Ownership: You also have rights over your personal data (see our Privacy Policy above). You can request data export or deletion. Meanwhile, the compiled feedback reports are usually owned by the organization or individual who initiated the survey (e.g., your employer) – they have their own policies about how those reports are used internally. We just facilitate the creation of that data for them.

In summary, you retain ownership of what you contribute, and we use it only as needed to provide the service. We respect your rights and intellectual property, and we expect all users to do the same for others.

Intellectual Property (Our Content)

Apart from user-provided content, the rest of the platform’s content and software is owned by us or our licensors. Here’s what you should know:

  • Platform Materials: All software, code, text, graphics, logos, and trademarks on the platform (other than your content) are the intellectual property of our company or used under appropriate licenses. For example, the platform’s design, the compilation of questions (if we provide standard survey questionnaires), the brand name and logo of the platform – these are ours.

  • Limited Use: We grant you a limited, revocable license to use our Service for its intended purpose (i.e., giving and receiving feedback) in accordance with these Terms. You are not granted any ownership of our intellectual property. You agree not to copy, distribute, modify, or create derivative works from our software or other materials, unless we give you explicit permission. Basically, you can use the platform, but you can’t steal or repurpose our code or content.

  • Trademarks: Our company name, logo, and any product names are trademarks of our company. You agree not to use them without our written permission. (Using them to identify our service in a feedback context is fine, of course – like saying “I used [Platform] for my review” – but you can’t misrepresent yourself as us or use our logo as if it were yours.)

  • Third-Party Content: If the platform shows any content that’s not ours, such as a third-party library or a logo of a partner, that content is the property of the respective owner. You must respect those rights as well.

  • Feedback to Us: If you choose to give us suggestions or feedback about how to improve our platform (thank you!), note that we may use those ideas without obligation to you. For example, if you suggest a new feature and we implement it, we own that implementation. Your idea is appreciated, but it doesn’t come with compensation – consider it a contribution to the community.

Acceptable Use and Conduct

To keep our Service pleasant and safe for everyone, we have a few more ground rules for acceptable use:

  • No Harmful Activities: Do not use the platform to distribute viruses, malware, or any other harmful software. Don’t attempt to interfere with the platform’s proper working (for example, through denial-of-service attacks, hacking attempts, or exploiting vulnerabilities).

  • No Unauthorized Access: You should not try to access areas of the platform or servers that you do not have permission to access. This includes refraining from security scanning or testing beyond what is allowed. We monitor for unauthorized access attempts and will take action if needed.

  • No Automated Abuse: Unless authorized, do not use bots, scrapers, or automated tools to extract data from the platform or to perform actions at a high frequency. The platform is meant for interactive use by humans (or authorized integrations). Excessive or automated use could impair service for others and is not allowed without permission.

  • Age Restrictions: Our platform is generally intended for use by adults in a professional environment. If you are under the age of majority in your region, you should only use the platform if you have permission from a parent or guardian, and if it’s appropriate (for instance, a student feedback scenario). By using the service, you affirm that you are old enough to do so or have proper consent.

  • Community Guidelines: Be courteous and professional. If there are public forums or team spaces within the platform (for example, if we offered any community features or shared learning resources), the same rules of respectful communication apply. We will not tolerate harassment, hate speech, or any form of bullying on our platform. Users who engage in such behavior may have their accounts suspended or terminated.

Violating the acceptable use policy could result in suspension or termination of your access to the Service. We prefer not to ever have to do that – so please follow the rules and help foster a positive environment.

Platform Availability and Updates

We aim to provide a reliable, accessible service, but sometimes things happen. Here’s what you should know about availability:

  • Uptime: We strive to keep the platform up and running smoothly 24/7. However, we cannot guarantee that it will be free of interruptions. There may be occasions when the service is unavailable, for example, for scheduled maintenance or due to unexpected technical issues. If we anticipate downtime (like for planned maintenance), we will do our best to inform you in advance via a notice on the site or an email.

  • Updates and Changes: We are constantly improving our platform. We may add or remove features, or update the software. These changes are meant to enhance your experience. In some cases, an update might change how something works. We’ll try to communicate significant changes (especially if they affect how your data is used or displayed). You agree that we may update the software automatically on our servers, and if you’re using any app or plugin, you may need to update to the latest version to continue using the service.

  • Support: We offer support for any issues you encounter. You can reach our support team at [[email protected]]. We endeavor to respond promptly and help resolve problems. However, please understand that support might be limited outside of our normal business hours (which we can publish on our site).

  • Data Backups: We perform regular backups of data to prevent loss. Still, we recommend that if something is very important (for instance, an individual feedback report), ensure you have a copy (especially if you plan to delete your account). While we back up data, we cannot guarantee that a backup will always be available for every bit of data in every circumstance. We are not liable for lost data, though we certainly do our best to avoid that.

  • External Factors: There are factors outside our control that can affect availability – like internet outages, power failures, or issues with third-party services we rely on. If something like that occurs, we’ll respond as quickly as we can to restore service, but we aren’t responsible for those external issues.

Disclaimers: While we work hard to provide the best service possible, there are some standard disclaimers we must state: The platform is provided on an “as is” and “as available” basis. This means we are not giving warranties or guarantees that the service will be perfect or will meet all your needs. For example, we don’t warrant that the results of using the service (like the feedback outcomes) will achieve any particular success in your organization – that depends on how you use them. We also don’t promise that the site will be 100% error-free or uninterrupted. We do promise, however, to do our best to fix issues and improve the service continually.

Limitations of Liability

We have to limit our legal liability in case something goes wrong. We will, of course, work in good faith to resolve any issues, but here’s the formal note:

To the fullest extent allowed by law, Our Company (and its owners, employees, and partners) shall not be liable for any indirect, incidental, special, consequential, or exemplary damages that result from the use of (or inability to use) our Service. This includes, for example, damages for lost profits, lost data, or loss of goodwill, or the cost of substitute services. We’re also not responsible for any punitive damages.

In plain language: if something in the platform doesn’t work as expected and it causes you some harm or expense, our liability is limited. Specifically, if we are found responsible for any claims, our liability will be capped to the amount you have paid (if anything) for the Service in the last 12 months, or a reasonable sum if no fees were paid. (Many of our users don’t pay individually because their organization sponsors the service – in such cases, we’d look at what the organization paid on a per-user basis). Some jurisdictions don’t allow certain limitations of liability, so some of these may not apply to you – but generally, our intent is to limit liability to a reasonable extent.

We want to emphasize: we don’t anticipate problems, and we are certainly not trying to avoid responsibility for things that are truly our fault. If we mess up, we will do our best to make it right with you. But we also need to protect our company from extreme or unjustified claims. These liability limits are a standard part of software service agreements, and they ensure that we can continue offering the platform at a reasonable cost.

Governing Law

These Terms are governed by the laws of Canada, specifically the laws of the Province of Ontario and the federal laws of Canada that apply therein. We choose Ontario, Canada as the governing jurisdiction because our company is based in Toronto, Ontario. This governing law will apply no matter where in the world you use our Service.

What this means is that if there is ever a dispute that leads to legal proceedings (which we hope never happens), it would be resolved under Canadian law, and typically in the courts of Ontario. By using the platform, you consent to that jurisdiction. If you are in another country, you might have certain consumer protections or mandatory laws that also apply – we don’t seek to override those if they are mandatory. But generally, the interpretation of these Terms will be according to Canadian law.

Changes to These Terms

We may update or modify these Terms of Use from time to time, especially as our platform evolves or laws change. If we make a significant change, we will notify you – for example, by sending an email to registered users or by posting a prominent notice on the site. The revised terms will have a “last updated” date for reference. Once any updated Terms are in effect, by continuing to use the service you will be deemed to have accepted the changes. If you do not agree to the changes, you should stop using the platform and, if needed, deactivate your account.

We don’t want to surprise you, so we’ll make efforts to ensure you are aware of updates. For minor tweaks that don’t materially affect your rights, we might simply update the Terms on the website. For major changes, we’ll be more direct in communication.
